NXM AI Terms & Conditions

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by NXM AI ("NXM AI," "we," "our," or "us"), including our AI receptionist technology, automation platform, lead capture tools, marketing services, and related software (collectively, the "Services").

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Services immediately.

2. Description of Services

NXM AI provides artificial intelligence–driven automation services designed to assist businesses with:

• AI-powered phone reception and call handling
• Lead capture and intake automation
• Appointment scheduling and calendar integrations
• Customer messaging and communication workflows
• CRM integrations and automation infrastructure
• Marketing automation and social media support

NXM AI reserves the right to modify, improve, or discontinue any portion of the Services at any time.

3. User Accounts

To access certain Services, users may be required to create an account.

You agree to:

• Provide accurate and complete information during registration
• Maintain the confidentiality of your login credentials
• Accept responsibility for all activity occurring under your account

NXM AI is not liable for unauthorized access resulting from your failure to safeguard account credentials.

4. Acceptable Use

You agree not to use the Services for any unlawful, abusive, or fraudulent purposes. Prohibited uses include, but are not limited to:

• Violating applicable laws or regulations
• Sending spam, deceptive communications, or fraudulent solicitations
• Attempting to reverse engineer, disrupt, or compromise the platform
• Using the Services to harass, threaten, or exploit individuals

NXM AI reserves the right to suspend or terminate accounts that violate these Terms.

5. AI and Automation Disclaimer

NXM AI provides artificial intelligence tools designed to automate certain communications and workflows. While we strive for accuracy and reliability, AI-generated responses may occasionally contain errors or misinterpretations.

Users are responsible for reviewing and supervising automated communications when appropriate. NXM AI does not guarantee that AI responses will always be accurate, complete, or suitable for every situation.

6. Fees and Payments

Certain Services require subscription fees or usage-based charges.

By subscribing to a paid plan, you agree to:

• Pay all applicable fees associated with your selected plan
• Provide valid payment information
• Authorize recurring billing where applicable

Failure to pay required fees may result in suspension or termination of Services.

7. Intellectual Property

All software, technology, designs, trademarks, and materials associated with the Services remain the exclusive property of NXM AI or its licensors.

Users are granted a limited, non-transferable license to access and use the Services for legitimate business purposes.

You may not reproduce, distribute, or create derivative works from the platform without written permission.

8. Data Ownership

Users retain ownership of their business data, customer information, and content submitted to the platform.

However, users grant NXM AI a limited license to process, store, and analyze such data as necessary to provide the Services.

9. Service Availability

NXM AI aims to maintain high system uptime and reliability; however, we do not guarantee uninterrupted access to the Services. Temporary outages may occur due to maintenance, system updates, or circumstances beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, NXM AI shall not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the Services.

NXM AI's total liability for any claim shall not exceed the amount paid by the user for Services during the twelve (12) months preceding the claim.

11. Termination

NXM AI may suspend or terminate accounts that violate these Terms or present risk to the platform.

Users may cancel their subscription at any time subject to the billing terms of their plan.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to conflict-of-law principles.

13. Changes to These Terms

NXM AI reserves the right to update these Terms periodically. Continued use of the Services following such updates constitutes acceptance of the revised Terms.

14. Quotes and Proposals

Quotes, estimates, and proposals are informational and are not binding until accepted in writing by both parties. Pricing may change before acceptance.

15. Client Responsibilities

You agree to provide accurate information, timely feedback, and any access, content, or credentials reasonably required to deliver the Services. Delays in providing these may affect timelines and delivery.

16. Confidentiality

Each party agrees to protect the other's non-public business information shared in connection with an engagement and to use it only for the purposes of that engagement.

17. Disclaimer of Warranties

Except as expressly stated in a signed Agreement, the Services and all website content are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

18. NXM Ventures Inc DBA NXM-AI – SMS Terms & Messaging Disclosure

NXM Ventures Inc, doing business as NXM-AI, provides intelligent automation services for businesses, including AI-powered communication tools such as SMS, voice, email, and website chat. By opting into our messaging program, you agree to receive SMS communications related to service updates, appointment scheduling, customer support, account notifications, and relevant business communications associated with our AI automation services.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging opt-in data and consent will not be shared with any third parties. Information may be shared only with subcontractors performing support services on our behalf (such as our messaging platform provider), solely to deliver the messages you requested.

Opting in is voluntary. Your consent to receive marketing or promotional text messages is not a condition of purchasing any product or service. You opt in by submitting a form on nxm-ai.dev and checking the SMS consent box, by texting a keyword to our number, or by providing verbal or written consent during a call or onboarding.

You must be 18 years of age or older to use this SMS service.

You can cancel the SMS service at any time. Simply text "STOP" to +1 (646) 567-2807. After you send the SMS message "STOP," you will receive a confirmation message indicating that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you wish to rejoin, you may opt in again through our website or services as you did previously.

Wireless carriers are not liable for delayed or undelivered messages.
